General terms and conditions of purchase

The following document outlines the contractual terms governing the purchase of products and services through the website www.proquinorte.com, which is operated by PROQUINORTE SA (hereinafter, the provider). Acceptance of this document implies that the user:

1. He has read, understands and comprehends what is stated here.
2. That is a person with sufficient capacity to enter into contracts, or who acts as a representative of an entity.
3. That assumes all the obligations set forth herein.

These conditions will have an indefinite period of validity and will apply to all contracts made through the provider's website www.proquinorte.com.

The provider reserves the right to unilaterally modify these Conditions, without this affecting goods or promotions that were acquired prior to the modification.

The sale of products offered through the website is only for professionals, and is not intended for purchases by individuals.

Identity of the parties

On the one hand, the provider of the goods or services contracted by the user is:

Subject of the contract

The purpose of this contract is to regulate the contractual relationship of sale and purchase created between the provider and the client or user at the moment when the latter accepts, during the online contracting process, the corresponding box.

The contractual relationship of purchase and sale involves the delivery, in exchange for a price that is determined and publicly displayed through the website, of a specific product or service.

Procurement procedure

The contract will be made through the website www.proquinorte.com

Orders placed through the website will be processed via the online sales platform at www.proquinorte.com, following the instructions detailed in that section. Before placing an order, the user must accept these general terms and conditions.

For orders placed through the website, in order to access the services offered by the provider, the customer must register through the website by creating a user account. To do so, the customer must freely and voluntarily provide the required information.

The client will select a username and password, committing to use them diligently, not to make them available to third parties, and to inform the provider of their loss or theft or of possible access by an unauthorized third party, so that the provider can proceed to block them immediately.

The client may not choose as a username words that are intended to confuse others by identifying him as a member of the provider, as well as offensive, insulting and generally illegal expressions or expressions contrary to the requirements of morality and good customs.

Once the user account has been created, please note that, in accordance with the requirements of Article 27 of Law 34/2002 on Information Society Services and Electronic Commerce, the contracting procedure will follow these steps:

1.1. Select the products you wish to purchase. Each selected product is automatically added to the “shopping cart”.

1.2. Once you have selected the product(s) you wish to purchase, a summary of your order with all selected products will be displayed on the "shopping cart" screen. If you have a discount voucher, please check the corresponding box.

1.3. Identification. If this is your first time ordering from us, please tick the box and click "Create account". A new window will appear on the screen. Enter your details (required fields: first name, last name (if applicable), address, city, country, and email address) and create an account.

If you have previously placed orders with us online, please log in using your email address. Your details will be automatically displayed once you enter your email address and password.

1.4. Address. If desired, modify the delivery or billing address if they differ from those provided during the account creation process. To continue, click "Next".

1.5. Shipping Costs. Shipping is free for orders over €___. For orders under €__, shipping costs are €__ for deliveries within the province of Bizkaia and €__ for the rest of mainland Spain. For deliveries to the Balearic Islands, the Canary Islands, or outside of Spain, please call for a quote. To continue, please accept the general terms and conditions and click "Next."

1.6. Payment Method. Click on "Bank Transfer" to pay for your purchase using this payment method. The goods will not be shipped until the transfer is received in our bank account.

1.7. Order Confirmation. Once your order has been validated, we will send you a confirmation email. This message will include your name, order description, price, and shipping address. Our system records the date and contents of the order, which is subject to subsequent verification by our services to ensure it matches the product description offered at the time the order was placed.

Order delivery

Orders will be delivered to the address freely designated by the customer or user. Therefore, the provider assumes no responsibility when the product or service cannot be delivered because the information provided by the customer is false, inaccurate, or incomplete, or when delivery cannot be completed due to reasons beyond the control of the assigned shipping company, such as the recipient's absence.

To ensure a smooth delivery, it is important that the address provided includes the name of the person who will be collecting the order.

In case of a delay in delivery, you can contact the provider through any of the communication channels indicated in the heading.

Upon delivery, the customer should verify that their order matches their order and is in perfect condition. If they are not satisfied with the delivered items or their condition, they should sign and note any discrepancies on the carrier's delivery note.

Price and payment methods

The prices applicable to each product will be those published on the website and applied automatically by the contracting process in its final stage.

All prices published on the website, except in cases of omission, transcription error, or computer error, are valid and include applicable VAT. Shipping is free for orders over €__. For orders under €__, shipping costs are €__ for deliveries within the province of Bizkaia and €__ for the rest of mainland Spain. These prices may be reviewed and modified at any time by the provider. However, the price will be honored if the order was processed before the prices listed on the website were updated.

The provider offers you a payment method, via bank transfer.

Transfer/Deposit into the provider's account.

The order will not be shipped until we have received payment of the purchase amount in our bank.

The buyer will be responsible for the transfer costs.

When making the transfer, the order number and the customer's full name must be indicated as a reference.

Right of withdrawal

The user, who holds the status of final consumer, has a period of fourteen (14) calendar days, counted from the date of receipt of the product, to withdraw from the contract without need of justification (article 71 of Law 3/2014 of March 27 General for the Defense of Consumers and Users).

In the event of cancellation, the user will be refunded all expenses received from them, once the goods have been received in our warehouse and verified to be in perfect condition—and, in the case of sealed products, provided that the seals have not been removed. We will process this refund using the same payment method used by the user for the initial transaction. The user will not incur any expenses as a result of the refund.

The right of withdrawal is not recognized in transactions carried out between professionals.

Applicable law and jurisdiction

These terms and conditions shall be governed by and construed in accordance with Spanish law in all matters not expressly provided for herein. The provider and the user agree to submit any dispute that may arise from the provision of the products or services covered by these Terms and Conditions to the Courts of Bilbao (Bizkaia).
